Authorize the execution of an Interlocal Cooperation Agreement between the North Texas Municipal Water District (NTMWD) and the City of Sherman.

PURPOSE
The City of Sherman (COS) plans to widen Shepherd Drive from two lanes to six to accommodate anticipated traffic to the new Texas Instruments Facility currently under construction. The COS project will require NTMWD’s Lake Texoma 72-inch raw waterline to be lowered within the Shepherd Drive right-of-way. A fiber optic cable pull box located inside the proposed right-of-way will also be relocated.
RECOMMENDATION
The Executive Director and NTMWD staff recommend the Board of Directors authorize the Executive Director, NTMWD staff, and Saunders, Walsh & Beard, Attorneys and Counselors, recommend the Board of Directors authorize the Executive Director to execute an Interlocal Cooperation Agreement as follows:
1. Authorize the Executive Director to execute an Interlocal Cooperation Agreement with the City of Sherman.
2. Adopt Resolution No. 24-36, “A Resolution Authorizing the Executive Director to execute an Interlocal Cooperation Agreement between the North Texas Municipal Water District and the City of Sherman regarding the City’s future Shepherd Drive Improvements Project in Sherman, Texas”

BACKGROUND
In July 2023, the City of Sherman (COS) contacted NTMWD staff regarding plans to widen Shepherd Drive from two to six lanes on the west side of U.S. Highway 75. The planned improvements will cross NTMWD’s existing Lake Texoma 72-inch raw waterline and fiber optic cable, creating the need to lower approximately 222 linear feet of NTMWD’s waterline and to relocate an existing fiber optic cable pull box within the proposed Shepherd Drive right-of-way. To prevent delays to the COS project NTMWD staff recommends that the required revisions to NTMWD’s pipeline and fiber optic cable be included within the road improvements project. COS will pay all costs associated with the design and construction of the NTMWD facility relocations and will reimburse NTMWD for their quality assurance inspection costs associated with the project.
The COS has employed Kimley-Horn & Associates, Inc. to design NTMWD’s waterline and fiber optic cable modifications. COS, Kimley-Horn and NTMWD Engineering and Water Operations staff completed a series of design review meetings between December 2023 and June 2024 and NTMWD staff provided their approval of the final design plans in July 2024.
INTERLOCAL AGREEMENT:
The agreement is attached. The general notable terms are as follows:
• COS shall be solely responsible for the procurement and construction of the lowering of NTMWD’s affected infrastructure, including all costs and expenses.
• COS shall reimburse NTMWD for any and all costs and expenses incurred by NTMWD in relation to its Shepherd Drive Improvements project.
• All work will be done according to all applicable codes and regulations, including municipal, county, state, and federal. The City, through its contractor, shall give all notices required by and shall comply with all laws and regulations applicable to the performance of the scope of work. NTMWD shall not be responsible for monitoring the City’s compliance with any laws or regulations. If the City, or any of the City’s contractors or agents, performs any work that is contrary to laws or regulations, NTMWD shall not be held responsible.
