PURPOSE
Amendments to the Board Policies Manual are needed to reflect process changes, provide clarification, and make minor corrections throughout. Specific changes include authorizing the Executive Director to establish employee incentive programs, amending the duties of the Vice President, establishing a definition of “family” related to conflicts of interest, and aligning language with state law.
RECOMMENDATION
The Executive Director/General Manager and NTMWD staff recommend the Board of Directors amend the NTMWD Board Policies Manual.

BACKGROUND
The Board Policies Manual was originally adopted in August 2017 in an effort to consolidate existing and related policies into a single manual. Since its creation, the Board has adopted amendments to the Board Policies Manual to reflect changes in positions, processes, and regulations.
In August 2026, the Policy Committee considered a series of revisions to the Board Policies Manual, including:
Amend language 2.2 Duties and Responsibilities to allow for the ED/GM to establish employee incentive programs ?
Provides authority to provide additional compensation and/or time off for employees achieving certain goals above and beyond regular work assignments
Amend 2.5 Executive Compensation to align with state law
